This is a Medical Virtual Engagement Platform intended for healthcare professionals (the “AstraZeneca Platform”) and has been created for AstraZeneca to host virtual meetings. The website (the “Site”) that the Platform sits on, is built, developed, maintained, and hosted by liV Agency Inc. (“liV”), a third-party service provider for AstraZeneca Canada Inc. (“AstraZeneca”).
These terms shall be referred to herein as (the “Terms of Use”) which tells you about the terms on which you may make use of this Platform (“Terms of Use”). Please read this Terms of Use carefully before you start to use the Platform. Your use of the Platform is subject to the terms found here and all applicable laws. By registering for an AstraZeneca virtual meeting via this Platform, you accept without limitation or qualification, these terms and agree to AstraZeneca using any personal information submitted via the Platform, in accordance with its Privacy Notice, Privacy Policy and as further set out herein. Personal Information is information about an identifiable individual, as more particularly defined and limited by applicable privacy laws. If you do not agree with any of the terms found here, please do not use this Site or this Platform.
AstraZeneca owns the copyright of all AstraZeneca-owned materials provided via this Platform. You may only use the documents or materials published on this Platform or as provided in a virtual meeting, for the purposes outlined by AstraZeneca in any professional services agreement entered with you, or as otherwise outlined in this Terms of Use.
No information or statement contained herein shall be construed to confer any license or right under any patent, copyright, trademark, moral right, or other intellectual property right (whether or not registered) of AstraZeneca, its affiliates, or any third party acting for or on behalf of AstraZeneca.
As a registered user of this Platform, you must abide by this Terms of Use, AstraZeneca’s Privacy Policy, and its Privacy Notice.

1. PLATFORM PURPOSE
This Liv Site is built, developed, maintained and hosted by LiV Agency located at PO BOX 72124 CSP ATWATER, MONTRÉAL, QUÉBEC H3J 2Z6 Canada. LiV is the Site’s Administrator.The Platform was created for AstraZeneca Canada Inc., a member of a global group of companies, with its head office located at 1004 Middlegate Road, Suite 5000, Mississauga, Ontario, L4Y 1M4. LiV is AstraZeneca’s third-party service provider and this Platform is intended to hold AstraZeneca’s virtual meetings.
When you register for and attend an AstraZeneca virtual meeting, AstraZeneca will use any Personal Information provided by you through this Platform as outlined in any professional services agreement that you and AstraZeneca have entered into, and in accordance with AstraZeneca’s Privacy Policy and as further set out in this Terms of Use and its accompanying Privacy Notice.
This Platform is dedicated to healthcare professionals only. AstraZeneca’s personnel and appropriate affiliates may also participate as moderators and monitors of a virtual meeting held via this Platform.

2. SITE CONTENT
Information
AstraZeneca provides this Platform and the virtual meetings (and any information including any meeting agenda, topics, content and/or other data (collectively, “Information”)) provided in any of its virtual meetings for lawful purposes only. Information provided in a virtual meeting are shared with all attendees and may reflect the views and opinions of others. The opinions and views of any attendees does not necessarily reflect the views of AstraZeneca. Reliance on any Information exchanged on this Platform, for any purpose by you, will be at your sole risk, and neither AstraZeneca nor any of its affiliates, employees, agents, or service providers provide any representations or warranties either express or implied, that the information is accurate or free of error(s) of any kind.
License of User Content
By submitting your personal information, including your opinions or views and/or other data via this Platform, you automatically grant to AstraZeneca (and warrant that the owner of such material or Information has expressly granted to AstraZeneca), a royalty-free, worldwide, perpetual, irrevocable, assignable, non- exclusive right and license, with the right to grant sub-licenses, to use, reproduce, modify, adapt, publish, display, translate and distribute such content and data (in whole or in part) and/or incorporate it in other works in any form, media or technology now known or hereafter developed.
Site Guidelines
The Platform allows you to view questions related to specific virtual meeting agenda topics and purposes, and other participant's/advisors' responses and respond to them (“Communication Services”). You may view, print or download any content, graphic form or document from the Platform so long as such activity is for your own personal and non-commercial use and within the remit of the professional services agreement that you entered into with AstraZeneca.
You will be responsible for the content you post. You will use the Communication Services only to post responses and material that are proper and do not violate any other term and conditions of (i) your professional services agreement, (ii) this Terms of Use, and (iii) any applicable law, statute, ordinance or regulation. In connection with your use of the Site and the AstraZeneca Platform.
You will not modify, copy, transmit, display, perform, reproduce, license, publish, distribute, assign, sublicense, sell, create a derivative work from or make other use of the Information. You will not reproduce the Information in any form or incorporate the Information into any information retrieval system, electronic or mechanical, other than for your personal use.
Your activities on the Platform will not create liability for or cause AstraZeneca, its affiliates, employees, agents or its third-party service providers to lose (in whole or in part) the services of its internet service provider(s) or other suppliers. You also will not modify or alter any part of the Site or the Platform, including, without limitation, by providing a link directly or indirectly to any other site from the Site or Platform or modifying or altering any material on the Site or Platform.
You will not use the Site or Platform in any manner that could damage, disable, overburden, or impair the Site, Platform or any network associated with the Site or Platform or interfere with any other party’s use or enjoyment of the Site or Platform. You will not attempt to gain unauthorized access of the Site or Platform, any computer system or network connected to or affiliated with the Site or Platform through hacking, password mining or any other means. You may not attempt to obtain any materials or information through any means not intentionally made available through the Site or Platform.
Monitoring
This Platform is monitored by AstraZeneca and/or its third-party service provider.
Updates and Alterations
AstraZeneca may, in its sole discretion, modify the Platform and its guidelines or direct its third parties to modify the Platform and its guidelines. By attending a virtual meeting and submitting and posting content on this Platform, you grant AstraZeneca the right to immediately remove or cause the removal of your material or information from its server(s), in whole or in part, that it, in its sole and absolute discretion, determines is objectionable or does not meet the Site guidelines. AstraZeneca may, in its sole and absolute discretion, and in addition to any other remedies, suspend, or terminate your access to the Platform if you fail to adhere to the terms of this Terms of Use.
The Information on this Platform is not guaranteed to be complete, correct, timely, current, or up-to-date and may be changed, updated, or altered without notice. AstraZeneca does not undertake any obligation to update any Information on the Platform. By submitting or posting content on the Platform, you grant AstraZeneca, or any third parties acting at the direction of AstraZeneca the right to remove, modify, adopt or edit any content or comment that, in the sole and absolute discretion of AstraZeneca, is otherwise objectionable and does not meet the Site guidelines.

3. COMPLIANCE WITH PRIVACY LAWS AND HEALTH LAWS (AND RELATED REGULATIONS)
You warrant that the information disclosed in your communications through the Platform will comply with applicable privacy laws and regulations, including applicable Health laws and their regulations in Canada. You will not disclose any "personal health information" on the Platform and you will be solely responsible for any liability arising out of non-compliance with applicable privacy and health laws and any regulations related thereto.
Any Adverse Events must be submitted via AstraZeneca’s AE Reporting Site, and not via this Platform.

4. PROFESSIONAL RELATIONSHIPS
Physician-Patient Relationship
AstraZeneca does not provide any medical advice on this Platform, and the Information will not be so construed or used. Using, accessing and/or browsing the Platform and/or providing Personal Information or medical information to AstraZeneca does not create a physician-patient relationship between AstraZeneca and you or your patients. Nothing contained in the Platform is intended to create a physician-patient relationship, and you will not rely on anything contained in the Platform in diagnosing or treating patients. The information on the Platform is provided to gain your insights and feedback on relevant topics to the AstraZeneca medical teams.
Financial, Legal and Other Professional Relationships
Nothing contained in the Platform constitutes financial, investment, legal and/or other professional advice, and no professional relationship of any kind is created between you AstraZeneca. You will not make any financial, investment, legal and/or other decision based in whole or in part on anything contained in this Platform.

5. INTELLECTUAL PROPERTY
Reservation of Intellectual Property Rights
AstraZeneca’s third-party service provider reserves all its intellectual property rights on the Site. The underlying network, software, business methods and technologies supporting the Site (but not including the AstraZeneca Platform’s content) belong to liV Agency Inc., with all rights reserved.
Copyright
The content, organization, graphics, design, compilation, magnetic translation, digital conversion and all other matters related to the Site, including, without limitation, the “look and feel” of the Site, are protected under applicable copyrights and other proprietary and intellectual property rights and are the property of AstraZeneca or its third-party service provider, or other third parties, as applicable, or their respective affiliates, officers, directors, consultants, employees, agents, partners, promoters, co-branders, licensors, suppliers, sponsors (collectively, the “Affiliates”). You do not have the right to use, copy, distribute, display, publish, transmit or create derivative works of any content or material on the Site or Platform, except as expressly granted in this Terms of Use and its accompanying Privacy Notice and any professional services agreement you enter into with AstraZeneca.
Trademarks
AstraZeneca is a proprietary service mark and trade name belonging to the AstraZeneca Group of Companies. All other service marks, trademarks, and/or trade names belong to their rightful owners or their Affiliates or other third parties. The copying, redistribution, use or publication by you of any such marks is strictly prohibited without our express consent.

6. AGE RESTRICTION
The Site and the AstraZeneca Platform is intended for persons eighteen (18) years or older. Persons under the age of eighteen (18) should not access, use and/or browse the Site and the AstraZeneca Platform.

7. REPRESENTATIONS AND WARRANTIES
You represent and warrant that (a) you are a person over the age of eighteen (18) with the legal right and ability to obligate yourself to this Terms of Use (b) you will use the Site and the AstraZeneca Platform in accordance with the terms herein and will comply with your obligations in this Terms of Use, all applicable professional and ethical standards and requirements and all applicable laws and regulations.

8. WAIVER AND RELEASE FROM LIABILITY
Under no circumstances, as a result of your use of the Site or AstraZeneca Platform, will AstraZeneca, its Affiliates or its third-party service provider be liable to you or to any other person for any direct, indirect, special, incidental, exemplary, consequential or other damages under any legal theory, including, without limitation, tort or contract, under a strict liability, negligence and/or medical malpractice claim or otherwise, even if advised of the possibility of such damages.

The Information made available on this Platform is provided on an “AS IS” and “AS AVAILABLE” basis without warranties of any kind, either express or implied, including, without limitation, warranties of title, non-infringement, and implied warranties of merchantability or fitness for a particular purpose. Without limiting the generality of the foregoing, neither AstraZeneca nor its service providers make any warranty, representation, or guaranty as to the content, sequence, accuracy, timeliness or completeness of the Information, that the Information may be relied upon for any reason or that the Information will be uninterrupted or error free or that any defects can or will be corrected.

11. INDEMNIFICATION
You will indemnify, defend, and hold harmless AstraZeneca and its third-party Service Provider and their Affiliates from and against any claims, actions or demands, liabilities and settlements including, without limitation, reasonable legal, attorney and accounting fees, resulting from, or alleged to result from:
- a. your violation of any of the terms in this Terms of Use or a breach of any of your representations or warranties under this Terms of Use;
- b. any activity related to your use of this Platform by you or any other person accessing the Platform using your account;
- c. a violation of the intellectual property rights of any third parties;
- d. content submitted, posted, transmitted, or made available through your use or connection to the Platform; and
- e. any violation of any law, including, without limitation, violation of laws related to confidentiality of patient health information, or any misconduct in connection with the use of the Platform, including, without limitation, your misrepresentations and willful misconduct.

12. MISCELLANEOUS
Governing Law; Jurisdiction
These terms shall be governed by the laws of Ontario and the applicable laws of Canada. You agree to be bound by such laws and to submit to the non-exclusive jurisdiction of the courts of Ontario, Canada, in connection with the interpretation or application of these terms and conditions.
Modification
AstraZeneca may, in its sole and absolute discretion, modify the terms and conditions of this Terms of Use in whole or in part at any time for any reason without any notice to you. Continued access of the AstraZeneca Platform by you constitutes acceptance of any changes or revisions to our Terms of Use.

You further acknowledge that, in providing you with access to and use of the Platform, AstraZeneca has relied on your agreement to be legally bound to these terms. 2. CONSENT, ACCOUNT AND PASSWORD, SAFEGUARDS, PRIVACY RIGHTS
Consent
Consent to the collection, use and disclosure of Personal Information may be given in various ways. Consent can be express (for example, orally, electronically or on a form you may sign describing the intended uses and disclosures of Personal Information) or implied (for example, when you provide personal information necessary to use the services available under this Platform). You may provide your consent in some circumstances where notice has been provided to you about our intentions with respect to your Personal Information and you have not withdrawn your consent for an identified purpose, such as by using an “opt-out” option provided, if any.
The form of the consent sought by AstraZeneca, including whether this consent is express or implied, may vary depending upon the circumstances and the type of Personal Information. In determining the form of consent to use, AstraZeneca will consider the sensitivity of the Personal Information and the reasonable expectations of the individual. Generally, by providing us with your Personal Information, we will assume that you consent to our collection, use and disclosure of such Personal Information for the purposes identified or described further in our Privacy Policy, if applicable, or otherwise at the time of collection. AstraZeneca is the organization with custody and control of the Personal Information submitted through this Platform.
Account and Password
This Platform is made available to healthcare professionals attending an AstraZeneca virtual meeting, who have signed a professional services agreement with AstraZeneca and who agree to register to the Platform. Upon accepting the invitation, you will receive a link to The Platform to register. After entering your email address, you will receive an email with a “magic link”. This secure link will expire in 3 minutes and will grant you access to the platform where you will be requested to complete the registration process by entering your preferred name, and adjust your province and specialty. If you have trouble accessing, you can notify the Site Administrator ([email protected]). AstraZeneca or its third-party service provider reserve the right to suspend or terminate the Account and delete some or all information in the Account at any time and for any reason.
Safeguards
AstraZeneca implements reasonable security safeguards to protect Personal Information against loss or theft, as well as unauthorized access, disclosure, copying, use or modification, regardless of the format in which the Personal Information is held.
The methods of protection include:
- - physical measures (e.g., locked filing cabinets and restricted access to desks);
- - organizational measures (e.g., security clearances and limiting access on a “need to know” basis); and
- - technological measures (e.g., the use of passwords, gating, and encryption).
Authorized AstraZeneca employees, agents, its third-party service providers, (including affiliates acting in such capacity), as well as mandataries have access to your Personal Information as required to fulfill their responsibilities to AstraZeneca.
Privacy Rights
AstraZeneca maintains a file of personal information for individuals for the purposes described in its Privacy Policy, which will be accessible at the address provided in the Contact Information section below. If you wish to request access to or correction of your personal information in our custody or control, you may write to this address, attention Privacy Officer. Your right to access or correct your personal information is subject to applicable legal restrictions. We may take reasonable steps to verify your identity before granting access or making corrections. The Personal Information outlined below, is collected solely for the purposes of the virtual meetings provided via this Platform:

- e. Personal opinions collected through Q&A and as contractually agreed to with AstraZeneca
- f. The Personal Information collected via this Platform is subject to automated processing, declared as appropriate to the relevant regulator(s). This data is collected to grant access and provide communication services. AstraZeneca will also use the Information submitted through this Platform, including any Personal Information, as set out in Section 6 below, and for lawful purposes.

4. PURPOSES OF COLLECTION AND USES OF PERSONAL INFORMATION
AstraZeneca will use some or all of the Information collected via this Platform for any the following purposes and as outlined in its Privacy Policy:
- - obtaining medical-related insights;
- - conducting and evaluating clinical studies and related research and development, and otherwise developing or improving our offerings;
- - conducting scientific exchanges;
- - establishing and sponsoring educational or other programs and administering health condition awareness/management or similar programs;
- - responding to feedback, questions, comments, requests, inquiries, complaints, or reports of adverse event reports;
- - generating adverse drug reaction reports or other reports required by regulatory bodies;
- - providing notifications, notifying individuals about product-related matters, including product recalls;
- - maintaining business records for reasonable periods and generally managing and administering our business including defending and bringing legal actions;
- - meeting legal, regulatory, insurance, security, and processing requirements; and
- - as otherwise required with consent or as permitted or required by law.

Business Transactions
Personal information may be used by AstraZeneca and disclosed to parties connected with a proposed or actual financing, securitization, insuring, sale, assignment or other disposal of all or part of AstraZeneca or our business or assets, for the purposes of evaluating and/or performing the proposed transaction. Assignees or successors of AstraZeneca or our business or assets may use and disclose your personal information for similar purposes as those described in this Privacy Policy.
Service Providers
AstraZeneca may transfer personal information to outside agents or service providers (including our affiliates acting in this capacity) for reasons such as data processing, data warehousing, administrative services, conducting programs or services, and otherwise collecting, using, disclosing, storing or processing Personal Information on AstraZeneca’s behalf for the purposes described in this Privacy Notice, accompanying Terms of Use and our Privacy Policy. Select Individuals on a Need-to-Know Basis
Personal Information listed in Section 3 of this Notice is collected for the purposes of;
- Identifying users of the Platform;
- Managing or troubleshooting the Platform;
- Managing contractual agreements with HCPs who have access to the Platform;
- Analysis of information provided by a HCP under contract;
- Developing insights;
- Improving the meeting offerings; and
- Project management of meetings and their purpose(s);
Your Personal Information may be collected, used, disclosed, stored, accessed from or processed outside of Canada (including outside of Quebec). While your personal information is located outside Canada (including outside of Quebec) it may also be subject to the laws of the jurisdiction in which it is retained, including laws that may require disclosure of personal information to foreign government authorities.
